The Rights and Duties of an LLP Partner

General Duties

It is mandatory for all the LLP partners to be fair and faithful to each other and also to submit authentic accounts and full information of all matters affecting the firm. The partners should conduct the business to a common goal and vision.

Duty to Indemnify

Every partner of an LLP firm needs to indemnify the firm in case of any losses caused by fraudulent activities in the conduct of the organization.

Implied Authority

Implied authority or Usual authority takes charge on behalf of the LLP based on the circumstances of the event.

Rights of Partner

All the partners will have the right to participate in maintaining the decorum of the business of the LLP. Each partner also has the access to examine the book of accounts of the LLP.

Properties of LLP

The LLP shall possess the right to hold all property, interests in assets (tangible and intangible) that is obtained or developed with the turnover of the LLP.
